Terms of Service

1. Agreement to Terms

By accessing or using the Lumidish website, applications, APIs, and related services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms incorporate by reference our Privacy Policy, No Refund Policy, and Cookie Policy.

2. About Lumidish

Lumidish is an AI-powered platform that transforms restaurant menus into cinematic digital marketing assets—including images, videos, audio, interactive menu experiences, QR ordering journeys, and related content—for use across websites, social media, advertising, email, in-store displays, and other channels.

3. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for all activity under your account and for keeping your login credentials secure. Information you provide must be accurate and kept current.

4. Restaurant Content You Provide

You may upload or submit menu data, dish names, descriptions, prices, photographs, logos, branding, and other materials ("Customer Content"). You represent and warrant that you have all rights, licenses, and permissions necessary to submit Customer Content and to grant the rights described in these Terms.

By submitting Customer Content, you grant Lumidish a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from Customer Content for the purpose of operating, improving, marketing, and providing the Service.

5. Ownership of Platform-Generated Content

Lumidish owns all videos, images, audio, sound, text, graphics, animations, compositions, and other content created, generated, processed, or produced through the Service ("Platform Content"), including without limitation AI-generated dish videos, cinematic reels, menu visuals, music, voice, sound effects, thumbnails, posters, prompts, templates, and marketing assets.

Platform Content is not sold or assigned to you. Subject to your active subscription and compliance with these Terms, Lumidish grants you a limited, non-exclusive, non-transferable, revocable license to use Platform Content solely for marketing and operating your restaurant business through approved Lumidish features. You may not download, extract, resell, sublicense, or use Platform Content outside the Service except as expressly permitted by Lumidish in writing.

Lumidish may use Platform Content and anonymized or aggregated Customer Content to train, improve, and promote the Service, including in marketing materials, case studies, and portfolio demonstrations.

6. AI-Generated & Automated Content

The Service uses artificial intelligence and automated systems. Generated output may not perfectly match real dishes, ingredients, pricing, or availability. You are responsible for reviewing all published menu and marketing content before it is shown to customers. Lumidish discloses where required that content may be AI-generated or enhanced.

7. Subscriptions, Billing & Refunds

Paid plans are billed in advance through our payment processors (including Stripe and Clerk Billing). Fees are non-refundable except where required by applicable law. See our No Refund Policy for full details.

We may change pricing or plan features with reasonable notice. Continued use after a price change constitutes acceptance unless you cancel before the new billing period begins.

8. Acceptable Use

You agree not to:

• Use the Service for unlawful, fraudulent, or misleading purposes;
• Upload content that infringes intellectual property or privacy rights;
• Reverse engineer, scrape, or attempt unauthorized access to the Service;
• Circumvent usage limits, security controls, or billing mechanisms;
• Resell, white-label, or replicate the Service without written permission;
• Upload malware or interfere with other users or infrastructure.

9. Public Listings & Discovery

Lumidish may display restaurant menus and generated content in public discovery, search, reels, and marketing surfaces. Restaurant owners may claim, edit, publish, or request removal of listings in accordance with our processes and applicable law.

10. Third-Party Services

The Service integrates third-party providers including authentication, payment, email, hosting, analytics, and AI providers. Your use of those services may be subject to their separate terms and privacy policies.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIDISH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OUTPUT, OR SPECIFIC BUSINESS RESULTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIDISH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO LUMIDISH IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Lumidish and its officers, directors, employees, and agents from claims arising out of your Customer Content, your use of the Service, or your violation of these Terms.

14. Suspension & Termination

We may suspend or terminate access to the Service immediately for breach of these Terms, non-payment, fraud, or legal compliance. You may cancel your account at any time. Upon termination, your license to use Platform Content ends, and Lumidish's ownership of Platform Content is unaffected.

15. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Disputes will be resolved in state or federal courts located in Dallas County, Texas, unless applicable law requires otherwise.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes become effective constitutes acceptance.
